Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RegulaCore Inc. ("RegulaCore Inc," "we," "us," or "our") governing your access to and use of the RegulaCore Inc platform, including our EHS, Quality, ISO, and Training modules, website at regulacore.com, and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and have the legal authority to bind your organization to these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to accept these Terms on its behalf.

3. Account Registration

To access the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use.

4. Service Description

RegulaCore Inc provides a cloud-native platform for environment, health and safety (EHS) management, quality management, ISO certification readiness, workforce training, and compliance tracking. The Service is delivered as a multi-tenant SaaS application hosted on Cloudflare infrastructure.

5. Subscription and Payment

5.1 Plans and Pricing

The Service is offered under subscription plans as described on our Pricing page. Pricing is subject to change with 30 days' notice to existing subscribers.

5.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.3 Taxes

All fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, withholding, and similar taxes.

You may use the Service only for your internal business purposes in compliance with all applicable laws and regulations. You agree not to:

7.1 Ownership

You retain all right, title, and interest in the data you submit to the Service ("Customer Data"). RegulaCore Inc does not claim ownership of your Customer Data.

7.2 License

You grant RegulaCore Inc a limited, non-exclusive license to use, process, and store Customer Data solely to provide and improve the Service.

7.3 Data Processing

Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Addendum.

8. Intellectual Property

The Service, including all software, documentation, designs, and trademarks, is the exclusive property of RegulaCore Inc. and its licensors. Nothing in these Terms grants you any right to use RegulaCore Inc's trademarks, logos, or brand features without prior written consent.

9. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information excludes information that is publicly available, independently developed, or rightfully received from a third party.

10. Service Level and Availability

RegulaCore Inc targets 99.9% monthly uptime. We may perform scheduled maintenance with reasonable advance notice. We are not liable for unavailability caused by factors outside our reasonable control, including internet disruptions, force majeure events, or third-party service failures.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGULACORE'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL REGULACORE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

12. Indemnification

You agree to indemnify, defend, and hold harmless RegulaCore Inc and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, you may request export of your Customer Data within 30 days, after which we will delete it in accordance with our data retention policies.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Antonio, Texas under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice in the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
